These Terms of Service (“Terms”) govern your access to and use of the TrakCost website, applications, and services (collectively, the “Service”). By creating an account, starting a free trial, or using the Service in any way, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
1. Agreement
These Terms of Service (“Terms”) govern your access to and use of the TrakCost website, applications, and services (collectively, the “Service”). By creating an account, starting a free trial, or using the Service in any way, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
2. Service Description
TrakCost is a cloud-based, multi-tenant construction ERP platform designed for contractors and construction firms, with modules for project management, invoicing, purchase orders, expense management, double-entry accounting, CRM, and related features. The platform is optimized for the MENA region with built-in VAT, withholding, retention, and Arabic/RTL support. We may add, modify, or remove features over time, including releasing new modules such as mobile apps, equipment management, advanced analytics, or integrations as indicated in our roadmap.
3. Account Registration and Access
- To use TrakCost, you must create an account and provide accurate and complete information. - You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. - You must promptly notify us if you suspect any unauthorized access or use of your account. - We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk to the Service or other users.
4. Subscription Plans and Payments
TrakCost offers multiple tiers, including Free, Pro, and Enterprise, each with defined features, usage limits, and pricing as displayed on the Pricing page. Specific terms for billing cycles, renewal, and cancellation will be shown at checkout and may be updated periodically. - Free tier: limited usage (for example, user and project caps, basic features) for solo contractors and small teams. - Pro tier: expanded features such as full accounting, POs, and reporting for growing construction companies. - Enterprise tier: advanced features such as audit trails, API access, and dedicated support for larger firms. Fees are typically billed in advance on a monthly or annual basis. Unless otherwise specified, subscriptions automatically renew at the then-current rates unless cancelled before the end of the current term.
5. Acceptable Use
You agree not to: - Use the Service in violation of any applicable laws, including tax, accounting, or data protection laws in your jurisdiction. - Upload or store unlawful, offensive, or infringing content. - Attempt to gain unauthorized access to other tenants’ data, the underlying infrastructure, or restricted areas of the Service. - Interfere with or disrupt the integrity, performance, or security of the Service. - Reverse engineer, decompile, or otherwise attempt to derive source code from the Service, except to the extent such restrictions are prohibited by law. We may investigate and take appropriate action (including account suspension or termination) if we suspect misuse.
6. Customer Data and Ownership
You retain all rights to the data you and your users upload or generate within TrakCost (“Customer Data”), including projects, work items, financial records, documents, and client/vendor records. We do not claim ownership of Customer Data. By using the Service, you grant us a limited, non-exclusive license to process Customer Data solely for the purpose of providing and improving the Service, including security, support, and analytics in aggregated or anonymized form. You are solely responsible for: - The accuracy, quality, and legality of Customer Data. - Ensuring you have all necessary rights and consents to store and process Customer Data within TrakCost.
7. Data Protection and Security
We implement technical and organizational measures designed to protect Customer Data, including: - Multi-tenant architecture with strict isolation of company data. - Role-based access control, allowing you to assign permissions by role. - Authentication and session management with secure identity services and row-level security on database tables. - Audit logs capturing key user actions and changes to support compliance. Your use of the Service is also governed by our Privacy Policy, which describes how we handle personal data.
8. Service Availability and Support
We aim to keep TrakCost available and performant; however, the Service may occasionally be unavailable due to maintenance, upgrades, or circumstances beyond our control. - We may provide onboarding guidance, help center resources, and direct support depending on your subscription tier. - For Enterprise customers, additional support and service levels may be specified in a separate agreement.
9. Third-Party Services
TrakCost may rely on or integrate with third-party services (for example, authentication, email, analytics, or future integrations). Use of those services may be subject to separate terms and policies. We are not responsible for third-party services outside our reasonable control.
10. Intellectual Property
All rights, title, and interest in and to the Service (including software, user interface design, trademarks, logos, and documentation) are owned by TrakCost or its licensors. These Terms do not grant you any ownership interest in the Service or its content. You may not use our trademarks, branding, or visual identity without prior written permission.
11. Beta and Roadmap Features
From time to time, we may offer early access to beta or “coming soon” features such as mobile apps, equipment management, or advanced analytics. These features may be offered “as is,” with reduced or different support, and may change or be discontinued at any time.
12. Data Portability
Upon written request or via available platform export tools, you have the right to export your Customer Data (including audit logs, project financials, and ledgers) in a structured, commonly used format for archival or transition purposes.
13. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, non-infringement, or that the Service will be error-free or uninterrupted. You are responsible for: - How you configure and use TrakCost (chart of accounts, tax settings, project data). - Compliance of your use of the Service with applicable legal, tax, and accounting requirements. - TrakCost is not a professional firm: The Service is a software tool designed to support construction management and accounting. TrakCost does not provide legal, tax, or professional accounting advice. You should consult with qualified professionals for specific advice related to your business.
14. Limitation of Liability
To the maximum extent permitted by law: - TrakCost will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill. - Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount you paid to use the Service in the 12 months preceding the event giving rise to the claim. These limitations apply whether or not we have been advised of the possibility of such damages.
15. Term and Termination
These Terms apply from your first use of the Service and continue until terminated. We may suspend or terminate your access to the Service if: - You breach these Terms or fail to pay applicable fees. - We are required to do so by law. - We discontinue the Service in whole or in part. Upon termination, your right to access and use the Service ceases. We will handle Customer Data in accordance with our Privacy Policy and any applicable data export options available to you.
16. Changes to Terms
We may revise these Terms from time to time. We will post updates on our website and indicate the “Last updated” date. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
17. Governing Law and Dispute Resolution
These Terms and any disputes arising out of or relating to them or the Service will be governed by the laws of the jurisdiction specified on our website or order form, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of that jurisdiction, unless otherwise agreed in writing.
